01Definitions

In these terms, “we”, “our” and “Aquilix” mean Technologies Aquilix inc. “You” and “client” mean the company that subscribes to the service, as well as anyone who uses it on its behalf. “OHS purpose” means preventing accidents, injuries and occupational illnesses, investigating an accident, and health and safety training.

02Acceptance of these terms

By accessing our site or using our services, you agree to comply with these terms. If you do not accept them, please do not use the service. They supplement the service agreement entered into with Aquilix; in case of conflict, the service agreement prevails.

03Description of the service

Aquilix adds artificial intelligence to site cameras to support health and safety programs in construction: detecting missing personal protective equipment, presence in hazard zones, unsafe behaviours and related events. The service produces alerts when your criteria are met. Those alerts are flags meant to be validated by a person: they are not findings, and the service makes no decision about any worker.

04Purpose: occupational health and safety

The service is provided for the OHS purpose only. You agree not to use it, directly or indirectly, to assess a worker's performance or productivity, to carry out general monitoring of work, or to ground a disciplinary measure of general scope.

No decision adverse to a worker may be based exclusively on an automated alert. When a manager needs to be informed of an event, Aquilix sends a written report describing the hazardous situation and the corrective action required, with no image and no identification of the worker, unless the law or an accident investigation requires otherwise.

05Prohibited uses

You agree to use the service only for lawful purposes and in compliance with privacy legislation. The following are strictly prohibited:

  • using the service to monitor people without the notice and posting required by section 6;
  • using images or alerts for performance management, productivity tracking or general discipline;
  • submitting video content that is unlawful, offensive or defamatory, or content for which you do not hold the necessary rights;
  • publicly distributing images from the service without irreversibly blurring identifiable people or obtaining their express consent;
  • circumventing, disabling or tampering with security, blurring or logging features.

06Client obligations: notice and posting

The client undertakes to inform the people being filmed. Aquilix provides an information kit including template signs to install at site entrances, a written notice to workers and subcontractors, and an onboarding briefing. The notice describes the OHS purposes, the system's functions, the categories of people authorized to view the images, access rights and the contact details of the privacy officer.

Installing that signage and issuing those notices is a contractual obligation of the client. Before each deployment, the client takes part with Aquilix in documenting the written necessity and proportionality test.

07Image access and authorized people

Access to images is closed by default and granted individually. The client undertakes to maintain a controlled list of the people authorized to view images, to have each of them sign a confidentiality undertaking, and to update the list on every staffing change.

Only people holding an occupational health and safety role and acting as neutral observers may be added. People who exercise authority over the organization, supervision or evaluation of work — site managers and superintendents, foremen, crew leads, production managers and human resources managers — cannot be added. Aquilix will refuse any access request contrary to this section and will document the refusal.

08Accuracy and lawfulness of what you provide

The client warrants the accuracy, completeness and lawfulness of the documents, plans, images, videos, data and information it sends to Aquilix, as well as its holding of the rights and consents required to disclose them. The client bears responsibility for the consequences of documentation that is erroneous, out of date, incomplete or disclosed without right, and indemnifies Aquilix against resulting claims. Aquilix is not required to verify the accuracy of what is provided, and results produced from faulty inputs cannot be held against it.

09Improving our models

Aquilix may use images from deployments to train and improve its models. This is a purpose distinct from delivering the service: faces are blurred and timestamps anonymized before any annotation, a dataset log is maintained, and anyone taking part in annotation is on the controlled list and bound by a confidentiality undertaking. 10Privacy and personal information

The processing of personal information is governed by our privacy policy, which forms an integral part of these terms and describes, among other things, blurring, retention, disclosure to the monitoring station, and your rights of access and correction. See our Privacy Policy.

11Intellectual property

The video data you provide remains yours. The alerts and analyses generated are made available to you for the use set out in the contract. The source code, models, interfaces, visuals and the Aquilix brand remain the exclusive property of Aquilix. Where you send architectural or engineering drawings, the service agreement provides an express licence covering their retention, reproduction, the creation of derived elements and their fate at the end of the mandate.

12User account

You are responsible for keeping your credentials confidential and for all activity carried out under your account. Multi-factor authentication is available and its use is recommended. You agree to notify us promptly of any unauthorized use of your account: unauthorized access to images is a confidentiality incident.

13Suppliers and subcontractors

Aquilix may rely on suppliers where their involvement is necessary to deliver the service. Each is bound by a written contract providing for purpose limitation, confidentiality, prompt incident notification, an audit right and certified destruction of the data at the end of the contract. The client is notified in writing before any change of hosting region or subcontractor.

14Limitation of liability

While we aim for maximum accuracy, Aquilix does not warrant that detections will be free of errors or omissions. The service provides signals and context: it replaces neither your legal health and safety obligations, nor qualified OHS staff, nor human vigilance in the field, and Aquilix provides no regulatory compliance on your behalf.

15Suspension or termination of access

We reserve the right to suspend or terminate your access in the event of a breach of these terms — in particular the OHS purpose set out in section 4 or the notice obligations set out in section 6 — or in the event of misuse of the service.

16End of contract: return and destruction

At the end of the contract, the data belonging to you is returned to you, then securely destroyed or anonymized in accordance with the retention schedule. A certificate of destruction is provided on request. Records required by law, in particular the confidentiality incident register and transmission logs, are kept for the period set by regulation.

17Force majeure

We will not be liable for any failure or delay in performing our obligations due to events beyond our reasonable control, including natural disasters, network or power outages and cyberattacks.

18Changes to these terms

These terms may be amended. You will be informed of any significant change, and the update date appears at the top of the page. By continuing to use the service after an update, you accept the new terms.

19Governing law

These terms are governed by the laws applicable in Quebec, Canada. Any dispute will be submitted to the exclusive jurisdiction of the courts of the district of Montreal.
